Please read these Terms and Conditions (“Terms,” “Service Agreement”) carefully before using the Kanect platform, including me.kanect.in (Digital VCard), wa.kanect.in (WhatsApp Marketing Tool), Kanect ERP, and any associated services (collectively, the “Service”).

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you (“User,” “Client,” or “you”) and Kanect (Powered by Thinklar Consultancy Services). You represent that you are at least 18 years old or possess legal parental or guardian consent and are fully able and competent to enter into these terms.

2. Kanect Service Description and Scope

Kanect provides an integrated Software-as-a-Service (SaaS) platform offering various tools for business automation, marketing, and operations.

A. Specific Product Use

  • wa.kanect.in (WhatsApp Marketing): This service is provided via the official WhatsApp Business API. Your use is conditional on strict compliance with the [Meta/WhatsApp Business Policy](Insert Link to WhatsApp Policy) and these Terms.
  • me.kanect.in (Digital VCard): This service allows the creation of a shareable digital business profile.
  • Kanect ERP: This service provides integrated resource planning, inventory, finance, and HR management features.

B. Changes to the Service

Kanect reserves the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice.

3. Account and Membership

A. Registration

You must provide accurate, complete, and current information when creating your account. You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account.

B. Security

You must notify Kanect immediately upon becoming aware of any breach of security or unauthorized use of your account. Kanect will not be liable for any loss or damage arising from your failure to comply with this security obligation.

4. Subscription, Billing, and Payments

A. Subscription Terms

The Service is billed on a subscription basis (e.g., monthly or annually) as specified in your selected plan (“Subscription”). Your Subscription will automatically renew under the same conditions unless canceled by you or Kanect.

B. Fees and Changes

You agree to pay Kanect the fees specified in your selected plan. Kanect reserves the right to change the fees for the Service upon 30 days’ prior notice, which may be provided by posting the changes to the Kanect website or via email.

C. Automatic Renewal

By selecting a Subscription plan, you authorize Kanect (or our third-party payment processor) to charge your payment method on a recurring basis for the applicable fees, including any taxes, until the Subscription is terminated.

D. Cancellations and Refunds

You can cancel your Subscription renewal at any time through your account settings. Cancellation will take effect at the end of the current billing period. Refund policies are governed by the separate Kanect Refund Policy.

5. User Responsibilities and Acceptable Use

You agree not to use the Kanect Service for any purpose that is prohibited by these Terms or by law.

A. Compliance with Law and Third-Party Policies

  1. WhatsApp Compliance (wa.kanect.in): You are solely responsible for ensuring that all communications comply with the WhatsApp Business Policy, anti-spam laws, and obtaining explicit, verifiable opt-in consent from every recipient before sending them messages.
  2. Data Compliance: You are responsible for ensuring your data processing activities within the ERP and CRM modules comply with applicable privacy and data protection laws (e.g., GDPR, CCPA).

B. Prohibited Activities

You are expressly prohibited from:

  • Using the Service to send unsolicited commercial messages (Spam).
  • Uploading or transmitting any data that contains viruses, malware, or other harmful code.
  • Attempting to gain unauthorized access to the Service or its related systems.
  • Infringing upon Kanect’s or any third party’s intellectual property rights.

C. Suspension and Termination

Kanect reserves the right to immediately suspend or terminate your account and refuse any and all current or future use of the Service if you violate these Terms, particularly regarding Prohibited Activities or non-compliance with the WhatsApp Business Policy.

6. Intellectual Property

A. Kanect Property

The Service, including its original content, features, functionality, trademarks, service marks, and all underlying software, are and shall remain the exclusive property of Kanect and its licensors. Your use of the Service does not grant you any right or license to use any Kanect trademarks or logos.

B. Client Data Ownership

You retain all ownership and intellectual property rights in and to your data, content, and information (“Client Data”) that you upload or input into the Service. You grant Kanect a worldwide, royalty-free license to use the Client Data solely as necessary to provide, secure, and improve the Service.

7. Warranty Disclaimer

The Service is provided on an “AS IS” and “AS AVAILABLE” basis. Kanect makes no warranties, expressed or implied, regarding the operation or availability of the Service, the accuracy of information, or that the Service will be uninterrupted, error-free, or free of harmful components.

8. Limitation of Liability

In no event shall Kanect, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  1. Your access to or use of, or inability to access or use, the Service;
  2. Any conduct or content of any third party on the Service;
  3. Any unauthorized access, use, or alteration of your transmissions or content, or
  4. Any penalty, fine, or loss incurred due to your non-compliance with the WhatsApp Business Policy.

Kanect’s total liability to you for any and all claims arising out of or related to these Terms or the Service shall not exceed the total amount paid by you to Kanect in the twelve (12) months preceding the claim.

9. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in [Specify City, e.g., Delhi, India].

10. General Provisions

A. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

B. Waiver

The failure of Kanect to enforce any right or provision of these Terms will not be considered a waiver of those rights.

C. Entire Agreement

These Terms, together with any applicable Subscription Order Forms, constitute the entire agreement between us regarding our Service.

D. Amendments

Kanect reserves the right, at our sole discretion, to modify or replace these Terms at any time. We will provide at least 30 days’ notice before any new terms take effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
